1. Hiring and Recruitment Policy
1.1 No Fees for Hiring or Certificates
Cenvexa does not charge any fee to job applicants, candidates, or interns for recruitment, selection, onboarding, training or the issuance of certificates. Any request for payment, deposit, or bank transfer in connection with recruitment or certificates is unauthorised and should be treated as fraud.
1.2 Fraudulent Job Offers
We have observed third-party impersonation attempts where individuals purport to be representatives of Cenvexa. Such communications may:
- Use the company name, logo, or branded templates without authorization;
- Provide fabricated offer letters, appointment orders, or other documents;
- Solicit payment as a condition of selection or issuance of documentation.
1.3 Official Communication Channels
All legitimate recruitment and HR communications are sent from @cenvexa.com
addresses only. Reports of suspected fraud should be sent immediately to team@cenvexa.com.
1.4 Disclaimer
Cenvexa is not liable for losses or damages resulting from interactions with unauthorized third parties or fraudulent communications.
2. Confidentiality & Non-Disclosure
2.1 Scope
All employees, interns, contractors and contributors (collectively "Personnel") must maintain the confidentiality of all non-public information relating to Cenvexa including, without limitation:
- Internal communications, meeting notes and HR documents (including offer letters and compensation details);
- Source code, system architecture, algorithms and build or deployment processes;
- Product designs, roadmaps, prototypes and unreleased features;
- Business plans, pricing, contractual terms and financial information;
- Customer lists, vendor terms, and other operational or strategic data.
2.2 Prohibited Conduct
Personnel shall not disclose, publish or use Confidential Information outside the scope of their role, nor use Confidential Information for personal gain, competing ventures, or third-party benefit, without prior written authorization from an officer of Cenvexa.
2.3 Duration & Return of Information
Confidential obligations survive termination of engagement. Upon cessation of association, Personnel must return or securely destroy all Confidential Information and certify such return or destruction if requested.
2.4 Remedies & Enforcement
Breach of confidentiality is a material breach and may result in disciplinary measures, immediate termination for cause, injunctive relief and monetary damages to the fullest extent permitted by law.
3. Intellectual Property (IP) Ownership
3.1 Work-for-Hire & Assignment
All creations, inventions, software code, designs, documentation, and derivative works conceived, developed or produced by Personnel, whether during working hours or using company resources, shall be considered "work-for-hire" and the exclusive property of Cenvexa. Personnel hereby irrevocably assign and transfer, to the fullest extent permitted by law, all right, title and interest in such IP to Cenvexa.
3.2 Moral Rights & Further Assurances
To the extent permitted by applicable law, Personnel waive any moral rights in the assigned IP. Personnel agree to execute documents and undertake reasonable acts required to secure, perfect or enforce Cenvexa’s rights.
3.3 Prohibited Use
Personnel shall not copy, publish, disclose, or use company IP outside the scope of their role or for third-party benefit without written permission.
4. Roles, Responsibilities & Performance
4.1 Role Clarity
Each Personnel will receive a written role description and a list of deliverables and timelines. Role definitions may be updated from time to time.
4.2 Performance Standards
Personnel are expected to meet quality, timeliness, attendance and communication standards. Failure to meet standards may lead to counseling, a formal warning, and replacement where appropriate. For interns, replacement may occur after one formal warning if performance does not improve.
4.3 Leave & Emergencies
Valid medical or family emergencies will be accommodated where possible and will not be treated as misconduct provided the Personnel notifies their manager in a timely manner and provides appropriate documentation when requested.
5. Code of Conduct & Ethics
- Act with professionalism, courtesy and respect toward colleagues, customers and partners;
- Adhere to anti-harassment and anti-discrimination policies: Cenvexa maintains a zero-tolerance approach;
- Disclose any actual or potential conflicts of interest promptly to your manager or HR;
- Comply with applicable laws, export controls, and company policies, including security and acceptable use policies.
6. Contribution Rights & Licensing
By contributing code, content or documentation to company projects, Personnel acknowledge and agree that such contributions are owned by Cenvexa and may be released under such open source or proprietary licenses as Cenvexa elects. Personnel must not contribute third-party code or licensed material not owned by them without explicit authorization and appropriate license compliance.
7. Discipline, Replacement & Exit
Non-performance, misconduct, breach of confidentiality, or other material breaches may result in progressive discipline, immediate termination for cause, recovery of damages, and other remedies. For interns, initial underperformance will be addressed with feedback and a formal warning; continued underperformance may result in replacement.
8. Internship Terms (Unpaid)
Internships at Cenvexa are educational and unpaid. Key points:
- Purpose: skill development, practical experience and mentoring;
- Compensation: unpaid: interns will not be paid wages during the internship;
- Certificate: issued upon satisfactory completion of the agreed internship period;
- No fees: interns are never required to pay for placement, training, or certificates;
- No guarantee: successful completion does not guarantee employment;
- Performance: interns must complete assigned tasks and meet agreed deliverables; management may replace interns after a warning for continued non-performance.
9. Software License Terms (User-Facing)
Where Cenvexa provides software to end users, such software is licensed, not sold. End User License Agreement (EULA) terms published at /legal/terms govern user rights and restrictions.
10. Dispute Resolution & Governing Law
Any dispute arising out of or in connection with this Agreement shall first be referred to internal dispute resolution (managers/HR). If unresolved, disputes shall be referred to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. This Agreement is governed by the laws of the Republic of India and the courts in Kolkata, West Bengal shall have exclusive jurisdiction for matters not covered by arbitration.
11. Remedies & Injunctive Relief
Personnel acknowledge that breach of confidentiality or misuse of IP may cause irreparable harm to Cenvexa. Cenvexa may seek injunctive relief, specific performance and monetary damages in the appropriate forum in addition to other remedies.
12. Acknowledgement & Acceptance
By commencing work, or continuing to work with Cenvexa, you acknowledge that you have read, understood and agree to be bound by this Internal Agreement. Personnel are required to confirm acceptance by replying to the onboarding email with the exact phrase:
“I have read, understood, and agree to the Cenvexa Software Internal Agreement & User License Terms (Version 1.0).”

13. Miscellaneous
- Severability: If any provision is unenforceable, the remainder remains in force.
- Entire Agreement: This document constitutes the entire agreement regarding internal policies between Personnel and Cenvexa.
- Amendments: Cenvexa may update this Agreement; material changes will be communicated and will require re-acknowledgement where appropriate.
